KeepItFixed.com (hereinafter “Seller”) is a wholly-owned subsidiary (dba) of Rossware Computing, Inc. (a Washington State corporation). Seller is an authorized reseller of Protection Plans that are administered by (and are the instruments and product of) Warrantech Corporation (hereinafter “Warrantech”), a subsidiary of AmTrust Financial Company.
Seller’s sole role in this relationship and transaction is to acquire a Protection Plan from Warrantech on behalf of the purchasing consumer (hereinafter “Buyer”), and to provide the same to Buyer. Seller acquires from Warrantech at wholesale and re-sells to the Buyer at retail. Seller does not in any manner administer (or manage the performance of any such services and/or obligations as may arise under) the Protection Plan. All obligations, duties and rights as exist pursuant to the Protection Plan are of relevance solely in the relationship between the Buyer and Warrantech, as specifically defined in the Service Contract Terms and Conditions (hereinafter “SCTC”).
To emphasize, Seller’s sole responsibility and duty is to assure that, in exchange for the Buyer’s purchase of the plan and payment of agreed-rate monthly fees, the Buyer’s Protection Plan is initiated and kept current with Warrantech. Buyer acknowledges Seller has no other duties in this relationship. Buyer promises to hold Seller harmless in any disagreement it may have with (or any claim it may make against) Warrantech, in particular as concerns Warrantech’s performance under the Protection Plan. Seller sells a Protection Plan to Buyer on an “as is” basis, and makes no promises, claims or warranties regarding it, other than to display its express terms as provided here.
To any extent promotional language on the KeepItFixed.com website seeks to characterize benefits in the Protection Plan, such language is understood as being nothing more than Seller’s promotional interpretation of the Protection Plan (an interpretation that is at the least incomplete and might additionally in the future prove to have been less than accurate). Such language shall not in any event be deemed as having constituted a warranty or promise by Seller averring that the Protection Plan necessarily provides what Seller interprets it as providing. Buyer relies solely on the SCTC itself to understand what is in fact promised under the Protection Plan, and promises to hold Seller harmless to any extent circumstances reveal a divergence between promotional language on the KeepItFixed.com website and what actually proves to be delivered by Warrantech under the Protection Plan. The SCTC is the sole governing document regarding Warrantech’s obligations under the Protection Plan. Promotional language on KeepItFixed.com has no relevance.
Similarly, if Buyer has had any direct communication with personnel who represent the Seller, referring-servicer or Warrantech, Buyer understands that any content in any such conversation represents nothing more than a particular person’s opinions or beliefs regarding such rights as inhere under the Protection Plan, and do not in any manner govern, change or modify actual terms as described in the SCTC.
The initial term of this agreement (hereinafter “Agreement”) is for one month, but it auto-renews on the same calendar date each month following (except if the first inception date is on the 29th, 30th or 31st in the inception month, in which case the auto-renewal date becomes the 28th day in each month following). Each month’s fee is due on the auto-renewal date for the month involved. Cancellations, if any, are governed by terms in the SCTC.
Each monthly payment will be accomplished by Seller running a charge transaction on bankcard information that is provided and maintained by Buyer. The first charge will run concurrent with execution of this Agreement, and each subsequent charge will be run on or after each monthly auto-renewal date thereafter. If a bankcard transaction is rejected, Buyer will be provided notice and opportunity to update with new bankcard information. Buyer promises to promptly provide new and working bankcard information. If Buyer fails to provide updated payment information, further provision of Protection Plan coverage will terminate.
This Agreement is solely between Seller and Buyer. For utmost clarity, it is the responsibility of Seller to purchase a Protection Plan on Buyer’s behalf, and provide to Buyer. This provision is the Seller’s sole responsibility and duty, to the Buyer. Buyer’s sole responsibility to Seller is to meet the agreed upon-payment for each one-month period, until and unless this Agreement is terminated.
